QualificationsInformation & Guidelines for Existing & Prospective Board Members The number of Directors shall not be less than three (3), such number to be set by the Board of Directors from time to time. Unless otherwise set by resolution of the Board of Directors, the number of Directors shall be nine (9). Nominees for Director must be voting members, have attended an annual conference and served on behalf of the group as a moderator, committee member, or as part of a special task force appointed by the Board of Directors. When considering a position on the NEC Users Group Board of Directors, please consider the following information carefully and be prepared to advise the Board of your company’s support of your personal commitment to a minimum of three years of service. Although the initial commitment is for three years, there is a potential for an additional commitment for Board Members who are appointed to one of the two Vice President positions with automatic ascension to President. All Board members are expected to participate in or attend the following activities:
All approved meetings, trips, the Annual Conference and Board related functions are fully subsidized by the Group. All Board of Director sanctioned meetings/functions, including committee meetings, are closed to everyone except Board Members and invited guests. Unless otherwise approved by the Board, any spouse/guest of Board members are required to reimburse the Group for their expenses such as food, beverage, etc. Board Members should make themselves available for regular and/or special assignments during all Annual Conference and Board functions. If accompanied by spouse/guest, Board Members must give priority to their Board responsibilities. While representing the Group, all Board Members are expected to conduct themselves in a courteous, helpful and professional manner. The dress code for all Board functions is business casual, unless otherwise specified in advance.
